1. Name

The name of the not-for-profit organisation is Earth Village CIC, a Community Interest Company incorporated in England and Wales (Companies House No: 13795865), founded in November 2021.

2. Aims

Earth Village CIC exists to build spaces where people can gather in genuine community, reconnect with themselves and each other, and find real belonging. Our aims are organised around six pillars:

  • Community — delivering nourishing family gatherings that rejuvenate and balance mind, body and soul, bringing people of all ages together in welcoming, inclusive spaces.

  • Recovery — supporting people struggling with addiction, trauma and mental health challenges, including peer support circles and holistic, trauma-informed approaches.

  • Care — providing connected, supportive care for older people in our community.

  • Education — delivering alternative learning experiences and rites-of-passage programmes for children and teenagers.

  • Earth Work — growing food and connecting people with nature, in harmony with the natural environment.

  • Creativity — offering a judgement-free space for music, art, theatre, building and craft, so people of all backgrounds and abilities can express themselves.

In pursuit of these aims, the organisation delivers regular community gatherings, wellbeing courses, volunteer development, and long-term projects including the conversion of community spaces into accessible wellbeing hubs.

3. Non-Distribution of Income or Property (Asset Lock)

As a Community Interest Company, Earth Village CIC is subject to a statutory asset lock under the Community Interest Company Regulations. In addition to those statutory requirements, this constitution confirms that the income and property of the organisation shall be applied solely towards the promotion of its aims as set out above. No portion of the organisation's income or property shall be paid or transferred, directly or indirectly, by way of dividend, bonus, or otherwise, to any member of the organisation, whether by way of profit or otherwise, during the lifetime of the organisation.

This does not prevent the payment, in good faith, of reasonable remuneration to any member, employee or facilitator for services actually rendered to the organisation, or reasonable interest on money lent, or reasonable rent for premises let, to the organisation.

4. Governance

Earth Village CIC is governed by a Board of Directors, who are responsible for the strategic direction, management and legal compliance of the organisation.

4.1 Directors The Board currently consists of 4 Directors: Jote Prakash Singh, Emily Webster, Geoff Nemec and Justin Harris. Directors are appointed in accordance with the organisation's Articles of Association as filed with Companies House.

4.2 Decision-Making Decisions of the Board are made by majority vote at Board meetings, with a quorum of two Directors or one-third of the Board, whichever is greater, required for decisions to be valid. In the event of a tied vote, the Chairperson holds a casting vote.

4.3 Meetings The Board meets at least annually to review the organisation's activities, finances and strategic priorities. Additional meetings may be called as needed.

4.4 Volunteers and Community Involvement Alongside the Board, Earth Village CIC operates a structured volunteer pathway, through which local people contribute to the delivery, facilitation and ongoing development of the organisation's activities. Volunteers are supported through mentoring and training, and are invited to feed into decisions about programme design and delivery through regular consultation and feedback.

4.5 Accountability As a Community Interest Company, Earth Village CIC is required to submit an annual CIC Report to Companies House, demonstrating how its activities have benefited the community, in addition to standard annual accounts and confirmation statement filings.

5. Dissolution and Distribution of Assets

If the organisation is wound up or dissolved, any remaining assets, after the satisfaction of all debts and liabilities, shall not be distributed among the members of the organisation. In line with the statutory asset lock applying to Community Interest Companies, any remaining assets shall be transferred to another asset-locked body — such as another Community Interest Company, a charity, or a similar not-for-profit organisation with aims similar to those of Earth Village CIC — as decided by the members at or before the time of dissolution, and in accordance with CIC regulations.

Under no circumstances shall any surplus assets be distributed to individual members of the organisation.
